1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the automatalabs.ca website and all desktop and mobile software applications published by Automata Labs ("we," "us," or "our"), including BoxVault, PortDetective, TimeFence, StayGreen, PinPoint, OpticBatch, MetaForge, Reforge, PrismKit, Taskbar Sentinel, SkyScout, GigaStream, QueryForge, and MileGuard (collectively, the "Software").

By downloading, installing, or using any of our Software, or by accessing our website, you agree to be bound by these Terms. If you do not agree, do not use our Software or website.

2. License Grant

Subject to your compliance with these Terms and payment of any applicable license fee, we grant you a personal, non-exclusive, non-transferable, limited license to install and use the Software on devices you own or control, for your personal or internal business purposes.

Perpetual License: Where a product is sold under a perpetual license, your right to use the version you purchased does not expire. You are entitled to use that specific version indefinitely, even without purchasing future updates. Updates and new major versions may be offered separately.

This license does not include the right to: sublicense, resell, redistribute, or transfer the Software; reverse engineer, decompile, or disassemble the Software except where expressly permitted by applicable law; or remove or alter any proprietary notices or labels.

3. Platform Store Terms

Software distributed through third-party platforms such as the Microsoft Store or Apple App Store is also subject to the applicable platform's terms and conditions. In the event of a conflict between these Terms and the platform's terms, the platform's terms govern with respect to your relationship with that platform.

4. Payment & Refunds

Prices for our Software are displayed at the time of purchase. All fees are in the currency indicated at checkout and are non-refundable except as required by applicable law or as explicitly stated at the time of purchase.

Purchases made through platform stores (Microsoft Store, Apple App Store) are subject to the refund policies of those respective platforms. Purchases made directly on automatalabs.ca are processed by Polar (payments infrastructure may include Stripe); those transactions are subject to Polar's and the payment provider's terms.

If you experience a technical issue that prevents the Software from functioning as described, please contact us at [email protected] and we will work to resolve it.

5. Prohibited Uses

You agree not to use the Software or website to:

• Violate any applicable local, provincial, national, or international law or regulation
• Infringe the intellectual property rights of Automata Labs or any third party
• Attempt to gain unauthorized access to any systems or networks
• Distribute malware, spam, or any harmful or deceptive content
• Resell, sublicense, or commercially redistribute the Software without our written permission
• Use the Software in any way that could damage, disable, or impair our services

6. Intellectual Property

The Software, website, and all associated content — including but not limited to source code, design, graphics, and trademarks — are the exclusive property of Automata Labs and are protected by Canadian and international intellectual property laws. Nothing in these Terms transfers any ownership interest to you.

Your in-app data (records, files, logs, and other content you create using the Software) remains entirely your property. We make no claim over it.

7. Privacy

Your use of our Software and website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect only anonymized crash and error data to maintain software quality. We do not collect, store, or transmit the data you create or process within our applications.

8. Updates & Modifications

We may release updates, patches, or new versions of the Software from time to time. For perpetual license holders, updates within the same major version are typically provided at no additional charge. Major version upgrades may be offered as separate paid updates.

We reserve the right to modify or discontinue any product or feature at any time. We will make reasonable efforts to notify users of significant changes. Your perpetual license to a purchased version is unaffected by discontinuation of that product.

9. Disclaimer of Warranties

The Software is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Software will be error-free, uninterrupted, or free of security vulnerabilities. You use the Software at your own risk. Some jurisdictions do not allow disclaimer of implied warranties, so the above may not apply to you in full.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Automata Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, business, or goodwill — arising out of or related to your use of or inability to use the Software or website, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claims arising from or related to these Terms or the Software shall not exceed the amount you paid us for the Software in the twelve (12) months preceding the claim, or CAD $50, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Automata Labs and its principals, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Software or website, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

13. Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will revise the Effective Date at the top of this page. Your continued use of our Software or website after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
